Corporate Law Class deals with law topics that appear in corporate law practice, such as Agency, Contracts, Debtor-Creditor Relationships, Government Regulation of Business, and Business Organizations, Corporations and Securities Regulation. Students will gain an understanding of how these areas of the law affect businesses and their operations, with an eye on preparation for the business law portions of the REG section of the CPA exam. By the end of the class, students will be able to identify the legal principles that govern various business situations and apply those principles to an issue to determine the outcome when the law is applied to the facts of a scenario not only from a locally but also globally scope.

In addition, an effective corporate lawyer must also have specialized knowledge that allows him/her to understand clients problems quickly and deeply. This understanding is not as a legal specialist alone, but rather is understanding of the problem as the client understands it: as a business problem. That knowledge will allow the creation of an effective framework for the legal understanding of the problem to be appointed. Therefore, the expert corporate and business lawyer must understand the language of business as well as the vocabulary and mechanisms of law. Thus students seriously interested in a corporate & business law practice should take the offerings in Accounting and Corporate Finance at a relatively early stage.

What is most important is that students acquire the analytical skills to see legal problems in their business context and sufficient mastery of legal doctrine and procedure to allow them to exercise imagination deploying legal skill to foresee and foreclose problems or to deal with them effectively when they arise by including negotiation skills as well as cross-border analysis.
